1. Agreement to Terms

Welcome to ZeroSugar Club! These Terms of Service ("Terms") constitute a legally binding agreement between you and ZeroSugar Club, Inc. ("ZeroSugar Club," "we," "us," or "our") regarding your access to and use of the ZeroSugar Club mobile application, website, and related services (collectively, the "Service").

Please read these Terms carefully before using the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Eligibility

To use the Service, you must:

• Be at least 13 years old (or 16 in the European Economic Area)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• If you are between 13 and 18 years old, you must have permission from a parent or legal guardian to use the Service

3. Account Registration and Security

4. Use of the Service

• Not post offensive, obscene, or inappropriate content
• Not share false or misleading information
• Not promote dangerous or unhealthy behaviors
• Respect the privacy of others
• Not spam or engage in excessive self-promotion

5. User Content

5.1 Your Content

The Service allows you to post, upload, and share content, including text, photos, videos, and other materials ("User Content"). You retain all rights to your User Content.

5.2 License to Your Content

By posting User Content on the Service, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

5.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate these Terms or any applicable laws
• Your User Content does not infringe upon the rights of any third party
• Your User Content is accurate and not misleading

We reserve the right, but are not obligated, to:

• Monitor User Content for violations of these Terms
• Remove or refuse to post any User Content at our discretion
• Take appropriate action against users who violate these Terms

• Community advice and shared experiences

• Not disregard professional medical advice or delay seeking it because of information on the Service

6.3 No Guarantees

We make no guarantees or promises about weight loss, health improvements, or any other outcomes from using the Service. Individual results vary and depend on many factors beyond our control.

6.4 Emergency Situations

If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. Do not rely on the Service for emergency medical assistance.

7. Subscription and Payment Terms

7.1 Free and Premium Features

ZeroSugar Club offers both free and premium (paid subscription) features. Some features of the Service require a paid subscription.

7.2 Subscription Plans

We offer various subscription plans with different billing cycles (monthly, annual, etc.). Subscription prices and features are subject to change with notice.

7.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee.

7.4 Payment Method

You agree to:

• Provide accurate and complete payment information
• Update your payment method if it changes or expires
• Authorize us to charge your payment method for subscription fees

7.5 Cancellation

You may cancel your subscription at any time through your account settings or the app store where you purchased. Cancellation takes effect at the end of your current billing period.

7.6 Refunds

Refund policies vary by platform:

• App Store (iOS): Managed by Apple; contact Apple for refund requests
• Google Play (Android): Managed by Google; contact Google for refund requests
• Direct Purchase: We generally do not offer refunds except as required by law

7.7 Price Changes

We may change subscription prices at any time. Price changes for existing subscribers will be communicated at least 30 days in advance and will take effect at the next renewal.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by ZeroSugar Club, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

ZeroSugar Club, our logo, and related marks are trademarks of ZeroSugar Club, Inc. You may not use these trademarks without our prior written permission.

8.3 Limited License

These Terms do not transfer any ownership rights to you. All rights not expressly granted to you are reserved by ZeroSugar Club.

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

TO THE FULLEST EXTENT PERMITTED BY LAW, ZEROSUGAR CLUB SHALL NOT BE LIABLE FOR:

• Any damages arising from your use or inability to use the Service
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages resulting from reliance on information obtained through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZeroSugar Club, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@thezerosugarclub.com. We'll try to resolve the dispute informally by contacting you via email.

13.2 Binding Arbitration

If we can't resolve the dispute informally, you and ZeroSugar Club agree to resolve any claims through final and binding arbitration, except as set forth below. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules and procedures.

13.3 Exceptions to Arbitration

You and ZeroSugar Club may bring claims in small claims court if they qualify. Either party may also seek injunctive relief in court for infringement of intellectual property rights.

13.4 Class Action Waiver

YOU AND ZEROSUGAR CLUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

13.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Deleting your account through the app settings
• Contacting us at support@thezerosugarclub.com

14.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests by law enforcement or government agencies
• Discontinuation of the Service

14.3 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• You remain liable for any amounts owed to us
• Sections of these Terms that should survive termination will continue to apply

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting a notice in the app
• Sending you an email
• Updating the "Last Updated" date at the top of these Terms

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZeroSugar Club regarding the Service.

16.2 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and ZeroSugar Club as a result of these Terms or your use of the Service.

16.6 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

16.7 Notices

Notices to you may be made via email or regular mail. The Service may also provide notices of changes to these Terms or other matters by displaying notices or links to notices generally on the Service.
